1. Acceptance
By using this site or engaging Sarace for services, you agree to these terms. If you're contracting on behalf of a company, you confirm you're authorised to do so.
2. Services
Scope, timelines, fees and deliverables for every engagement are defined in a signed Statement of Work. These terms sit on top of that SoW.
3. Fees and payment
Fees are payable per the SoW. Invoices are due within 15 days unless otherwise agreed. GST is charged at applicable rates. Late payment attracts 1.5% interest per month.
4. Intellectual property
On full payment, deliverables are assigned to you subject to third-party licences. Sarace retains rights to underlying frameworks, tools and know-how, and may display finished work in its portfolio.
5. Confidentiality
Both parties treat non-public information exchanged during the engagement as confidential and use it only for the purpose of the engagement.
6. Warranties and liability
We deliver services with reasonable skill and care. Except for wilful misconduct, our aggregate liability is capped at the fees paid for the affected SoW in the 3 months preceding the claim.
7. Termination
Either party may terminate an SoW with 30 days' written notice. Fees accrued for work performed remain payable.
8. Governing law
These terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.
